1. Scope and Contracting Parties
These Terms of Service ("Terms") govern the contractual relationship between Meeting Metrics GmbH (CHE-355.175.403), Lerchenfeldstrasse 3, 9014 St. Gallen ("Meeting Metrics" or "Provider") and the customer ("Customer" or "User") with regard to the use of the Meeting Metrics platform and services ("Services").
The Customer's general terms of business or contract do not apply. Only these Terms and written supplementary agreements are decisive for the contractual relationship.
2. Description of Services and Conclusion of Contract
Meeting Metrics is a web-based Software-as-a-Service platform (SaaS) for the automated transcription, analysis and management of audio and video content from meetings and conferences. The application runs in a Laravel environment on servers in Switzerland.
The contract between Meeting Metrics and the Customer is concluded upon registration on the platform or by signing an individual agreement. By using the Services, the Customer accepts these Terms.
The Provider reserves the right to make changes to the scope of services in the course of technical progress and product development, insofar as this is reasonable and does not represent a material restriction of the agreed service.
3. Usage Plans, Prices and Payment Terms
The Provider offers various plans:

Personal Plan
- Annual billing: CHF 29 per month (total amount CHF 348 in advance for 12 months)
- Monthly billing: CHF 59 per month -
Team Plan
- Annual billing: CHF 49 per month (total amount CHF 588 in advance for 12 months)
- Monthly billing: CHF 99 per month -
Enterprise Plan
- Individual offer depending on requirements
All prices are net in Swiss francs (CHF), including statutory VAT. Invoicing is carried out electronically.
In the event of late payment, Meeting Metrics reserves the right to suspend access to the Services and to charge default interest in accordance with statutory provisions.
4. Term, Cancellation and Refund Provisions
The contract term is based on the chosen billing period (monthly or annual). The contract is automatically renewed for the same period unless it is cancelled in due time.
The Customer may cancel the contract at any time as of the end of the current billing period. Cancellation must be carried out via the corresponding online portal.
Refund provisions:
- For annual subscriptions, there is generally no automatic entitlement to a pro-rata refund.
- In the case of very low or no usage, the Provider may grant a pro-rata refund at its sole discretion.
- For monthly subscriptions, no pro-rata refund is made for the current month.
5. Credits and Scope of Use
Depending on the plan, the Customer receives a monthly or annual quota of transcription minutes or credits. The type and volume of credits may differ depending on the plan.
Credits are valid for the current billing period and expire at the end of the period. Unused credits cannot be carried over to subsequent months.
If there is an increased demand for credits, the Customer has the option of either switching to a higher plan or agreeing on an individual enterprise plan (Enterprise). The plan can be adjusted at any time via the online portal.
6. Sub-Processing and Third-Party Services
The Provider reserves the right to use sub-contractors or third-party services to provide the services (e.g. hosting providers, AI providers such as OpenAI, Anthropic or Google Gemini). The Provider ensures that these service providers are contractually obligated to comply with appropriate data protection and security standards.
The Provider may change or expand the third-party services or providers used at any time, provided that this does not materially impair the agreed provision of services.
7. Availability and Maintenance
Meeting Metrics strives to ensure high availability (generally 24/7) of the Services, but cannot guarantee it. Planned maintenance work is carried out outside of business hours where possible.
The Provider informs the Customer in good time about planned maintenance windows, insofar as these are foreseeable.
The Provider is not liable for outages attributable to force majeure or the fault of third parties.
8. Customer Obligations
The Customer is responsible for:
- Providing correct and complete registration data
- Securing their access credentials and protecting against unauthorized access
- Obtaining the necessary consents from meeting participants for recordings
- Complying with all applicable data protection regulations
- Regularly backing up their data
The Customer indemnifies Meeting Metrics against all third-party claims resulting from a breach of these Terms or applicable laws.
8.1 Fair Use Clause
Meeting Metrics is intended for normal business use. Excessive or automated use that burdens the system or impairs the use by other customers is not permitted. In the event of suspected misuse, Meeting Metrics GmbH reserves the right to restrict or suspend access.
8.2 Prohibition of Misuse
Meeting Metrics may not be used for illegal, harmful or unethical purposes. In particular, the platform may not be used for spam, fraud, harassment or other abusive activities. The Customer undertakes to use the Services in accordance with all applicable laws and regulations.
8.3 Prohibition of Account Sharing
Each user account is intended for a single person and is personal. Sharing access credentials with third parties is not permitted. For Team plans, separate user accounts must be created for each team member. In the event of a breach of this rule, Meeting Metrics reserves the right to suspend the account concerned.
8.4 Prohibition of Multiple Trial Accounts
Each user may create only one free trial account. Creating multiple accounts for repeated or abusive use of the trial phase is expressly prohibited. In the event of a breach, access to all accounts concerned may be suspended and further use of the Services prohibited.
9. Liability and Warranty
The Provider makes "Meeting Metrics" available in accordance with the current state of the art ("as is"). Any liability of the Provider for damages of any kind is excluded, unless they are based on intentional or grossly negligent conduct. Liability going beyond these cases, in particular for consequential damages, lost profits or damages arising from incorrect or incomplete transcription or AI results, is excluded to the extent permitted by law. The Customer is and remains solely responsible for all content uploaded, processed or published via "Meeting Metrics". Mandatory liability provisions (e.g. in the case of personal injury) remain unaffected.
10. Data Protection and Data Security
Meeting Metrics treats all personal data confidentially and in accordance with applicable data protection laws. The data is stored on secure servers in Switzerland.
For AI analysis, data may be transmitted to external APIs of various providers. Meeting Metrics ensures that appropriate security measures are taken, regardless of the AI service used.

11. Intellectual Property Rights
All rights to the platform, the Services and the content remain with Meeting Metrics or the respective rights holders. The Customer does not acquire any rights beyond the use set out in these Terms.
Feedback or suggestions for improvement from the Customer may be used by Meeting Metrics free of charge.
12. Changes to the Terms
Meeting Metrics reserves the right to amend these Terms at any time. Changes will be communicated to the Customer in an appropriate manner. If the Customer does not object to the changes within 30 days, they are deemed to be accepted.
In the event of an objection, Meeting Metrics has the right to terminate the contract at the earliest possible date.
13. Final Provisions
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
The Customer is not entitled to assign rights or obligations under this contract without the prior written consent of Meeting Metrics.
Swiss law applies exclusively, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is St. Gallen.
